Welcome to AEXION R&D Technologies India Private Limited ("AEXION," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our websites at www.aexionrd.com and www.aexion.org (the "Sites") and any services offered through them. By accessing or using the Sites, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our Sites, you confirm that you are at least 18 years of age, have the legal capacity to enter into these Terms, and agree to comply with all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use our Sites.

AEXION R&D Technologies provides engineering services including but not limited to:

• Automotive Verification & Validation (V&V)
• ADAS and Autonomous Driving Testing
• HIL, MIL, SIL, and PIL Testing
• ISO 26262 Functional Safety and SOTIF Compliance
• IoT Solutions and Embedded Systems Engineering
• PCB Design and Prototyping
• SaaS, Web, and Mobile Application Development
• AgriTech and Medical Device V&V
• Engineering Staffing and Outsourcing

Specific service terms, deliverables, timelines, and pricing are governed by separate service agreements or statements of work executed between AEXION and the client.

3. Use of the Sites

You agree to use the Sites only for lawful purposes. You shall not:

• Use the Sites in any way that violates any applicable law or regulation
• Attempt to gain unauthorized access to any part of the Sites, server, or systems connected to the Sites
• Use automated tools (bots, scrapers, crawlers) to collect data from the Sites without our written consent
• Transmit any malicious code, viruses, or harmful content
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Sites or the servers and networks connected to the Sites
• Use the Sites to send unsolicited commercial communications (spam)

4. Intellectual Property

All content on the Sites, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of AEXION R&D Technologies or its content suppliers and is protected by Indian and international copyright, trademark, and intellectual property laws.

The AEXION name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of AEXION R&D Technologies India PVT LTD. You must not use such marks without our prior written permission.

You may view and print content from the Sites for your personal, non-commercial use only, provided you do not modify or delete any copyright, trademark, or other proprietary notices.

5. Contact Form & Communications

When you submit a contact form on our Sites, you agree that:

• The information you provide is accurate and complete
• You consent to us processing and responding to your inquiry via email or phone
• Your submission does not create a binding obligation on AEXION to provide services
• Your submission is subject to our Privacy Policy

Any confidential or proprietary information shared through the Sites or during initial project discussions is treated with strict confidentiality. However, information submitted through our public contact form should not include sensitive or classified data. 8. Limitation of Liability

To the fullest extent permitted by applicable law, AEXION R&D Technologies, its directors, employees, partners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of or inability to use the Sites or services.

Our total aggregate liability for any claim arising from or related to the Sites shall not exceed the amount paid by you, if any, to AEXION in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless AEXION R&D Technologies, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Sites or your violation of these Terms.

Our Sites may contain links to third-party websites or services that are not owned or controlled by AEXION. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites. You access third-party websites at your own risk.

We reserve the right to modify or replace these Terms at any time at our sole discretion. Material changes will be indicated by updating the "Last updated" date at the top of this page. Your continued use of the Sites after any changes constitutes acceptance of the revised Terms.

12. Termination

We reserve the right to terminate or suspend your access to the Sites, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the use of the Sites shall be subject to the exclusive jurisdiction of the courts located in Chittoor District, Andhra Pradesh, India.

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of thirty (30) days.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
